Terms of Service

These Terms govern your use of the AssessIQ platform and the scale-iq.ai family of services.
These Terms of Service (“Terms”) are a binding agreement between ScaleIQ LLC (“ScaleIQ,” “we,” “us”) and the entity or person agreeing to them (“Customer,” “you”). They govern your use of AssessIQ and any other ScaleIQ-family hosted service that references these Terms (the “Service”).
1. The Service
ScaleIQ provides AI readiness and governance software for Microsoft 365 and Copilot environments, delivered as a hosted service on Microsoft Azure. AssessIQ reads configuration and usage metadata from your Microsoft 365 tenant under tenant-administrator consent and produces readiness scores, findings, and remediation guidance. The Service includes the dashboard, APIs, and documentation we make available.
2. Your account & authorized users
You must hold a Microsoft Entra account to use the Service. You are responsible for safeguarding administrator credentials, enforcing multi-factor authentication for your Authorized Users, and all activity under your account. Notify us at security@scale-iq.ai if you suspect unauthorized access.
3. Acceptable use
Your use is subject to our Acceptable Use Policy, incorporated by reference. We may suspend access to address an active security, legal, or operational risk, with notice where practicable.
4. Tenant consent & Customer Data
“Customer Data” means data submitted to or generated by the Service on your behalf, including tenant configuration metadata read from your Microsoft 365 tenant under administrator consent and the assessment results derived from it. As between us, you own all Customer Data. You grant us a limited license to host, process, and display Customer Data solely to provide and support the Service, consistent with our Privacy Notice and DPA. You are responsible for obtaining and maintaining valid tenant-administrator consent and for the accuracy and legality of in-scope data.
5. AI features
The Service uses AI to extract evidence, score readiness, and draft remediation guidance. Our use of AI is governed by our AI Use & Responsible AI Policy. AI output may be incomplete or incorrect; findings are advisory and you are responsible for reviewing them before acting. In the current version of the Service, ScaleIQ does not make changes to your tenant on your behalf.
6. Fees and payment
Fees are set out in your Order Form or Marketplace transaction. Where you purchase through the Microsoft Commercial Marketplace, Microsoft facilitates billing. Unless stated otherwise, fees are payable in advance, non-refundable, and exclusive of taxes.
7. Term and termination
These Terms remain in effect while you have an active subscription. Either party may terminate for material breach uncured 30 days after written notice. We may suspend or terminate for non-payment or material AUP violation. On termination, you may export Customer Data for 30 days, after which it is deleted under our Data Retention & Deletion Policy.
8. Intellectual property
ScaleIQ retains all rights in the Service, the AssessIQ scoring rubric, software, models, and brand elements. You retain all rights in Customer Data. ScaleIQ may use aggregated, de-identified data that does not identify you, any user, or any tenant to operate and improve the Service. ScaleIQ does not use Customer Data to train AI models — its own or any third party’s.
9. Warranties and disclaimers
We warrant the Service will perform materially in accordance with its documentation. Except as expressly stated, the Service is provided “as is,” and we disclaim all other warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI output is accurate, complete, or fit for any particular use.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. Each party’s total liability will not exceed the fees you paid for the Service in the 12 months before the event giving rise to the claim. These limits do not apply to indemnification, breaches of confidentiality, or amounts owed.
11. Indemnification
We will defend you against third-party claims that the Service, used as permitted, infringes a US patent, copyright, or trademark. You will defend us against claims arising from Customer Data or your AUP violations.
12. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in the State of Texas, and each party consents to that jurisdiction.
13. Changes
We may update these Terms. Material changes take effect 30 days after we post or email them. Continued use after the effective date constitutes acceptance.
