Terms of Service
Effective date: October 7, 2026 · Version 1.4
The binding agreement between ScaleIQ, LLC and you. Governs all use of the scale-iq.ai family of services.
These Terms of Service (“Terms”) are a binding agreement between ScaleIQ LLC (“ScaleIQ,” “we,” “us”) and the entity or person agreeing to them (“Customer,” “you”). They apply to ScaleIQ, LLC as a company and govern your use of every ScaleIQ hosted software product and service that references these Terms, including CoIQ and its Capabilities, ComplyIQ, and any other ScaleIQ product (each, a “Service”), together with the Service Schedule that applies to that product. By accessing or using the Service, Customer agrees that these Terms constitute an electronic record under the Texas Uniform Electronic Transactions Act (Tex. Bus. & Com. Code § 322 et seq.).
1. The Service
ScaleIQ provides AI adoption, governance, and assessment software for Microsoft environments, delivered as hosted services on Microsoft Azure. How each product works with your environment is set out in its Service Schedule. Service Schedule A, ComplyIQ: the only ScaleIQ product that does not touch your tenant data. ScaleIQ does not access your Microsoft tenant, Entra directory, or Microsoft Graph; ComplyIQ works only from your questionnaire answers, documents you choose to upload, and public web pages you authorize. Service Schedule B, all other ScaleIQ products (the CoIQ platform and its Capabilities, including AssessIQ, GovernIQ, and ValueIQ, as well as PersonaIQ and TenantIQ): the Service works with data in your Microsoft environment, reading configuration and usage metadata from your Microsoft 365 tenant under tenant-administrator consent, and produces readiness scores, findings, and remediation guidance. Customer data is kept separate from other customers’ data; this is tenant-scoped, least-privilege design intent, not an independently validated result. A product not named in Schedule A is governed by Schedule B. The Service includes the dashboard, APIs, and documentation we make available.
2. Your account & authorized users
You must hold a Microsoft Entra account to use the Service. You are responsible for safeguarding administrator credentials, enforcing multi-factor authentication for your Authorized Users, and all activity under your account. Notify us at security@scale-iq.ai if you suspect unauthorized access.
3. Acceptable use
Your use is subject to our Acceptable Use Policy, incorporated by reference. We may suspend access to address an active security, legal, or operational risk, with notice where practicable.
4. Tenant consent & Customer Data
“Customer Data” means data submitted to or generated by the Service on your behalf, including your questionnaire answers, documents you choose to upload, public web pages you authorize us to review and, for products other than ComplyIQ, tenant configuration metadata read from your Microsoft 365 tenant under administrator consent, and the assessment results derived from any of these. As between us, you own all Customer Data. You grant us a limited license to host, process, and display Customer Data solely to provide and support the Service, consistent with our Privacy Notice and DPA. For every Service other than ComplyIQ, which reads from your Microsoft 365 tenant, you are responsible for obtaining and maintaining valid tenant-administrator consent. For every Service, you are responsible for the accuracy and legality of the data you submit.
5. AI features
The Service uses AI to extract evidence, score readiness, and draft remediation guidance. Our use of AI is governed by our AI Use & Responsible AI Policy. AI output may be incomplete or incorrect; findings are advisory and you are responsible for reviewing them before acting. In the current version of the Service, ScaleIQ does not make changes to your tenant on your behalf.
6. Fees and payment
Fees are set out in your Order Form or Marketplace transaction. Where you purchase through the Microsoft Commercial Marketplace, Microsoft facilitates billing. Unless stated otherwise, fees are payable in advance, non-refundable, and exclusive of taxes.
7. Term and termination
These Terms remain in effect while you have an active subscription. Either party may terminate for material breach uncured 30 days after written notice. We may suspend or terminate for non-payment or material AUP violation. On termination, you may export Customer Data for 30 days, after which it is deleted under our Data Retention & Deletion Policy.
WORM Evidence Blob retention: WORM Evidence Blobs — the documents submitted for an assessment, dated SHA-256-hashed snapshots of the URLs Customer authorizes us to review, and the digitally signed record of each completed assessment (inputs, model version, and outputs) — generally cannot be deleted for 7 years as a contractual security and evidentiary integrity control, including where you close your account or request deletion. Where applicable law grants a right to erasure that no statutory exemption permits us to refuse, the limited erasure path described in our Privacy Notice applies. This retention is implemented to preserve evidentiary integrity, auditability, and non-repudiation of assessment results. This retention is not intended to supersede any non-waivable legal rights except to the extent required by applicable law. ScaleIQ will provide a written schedule of WORM Evidence Blobs retained for your account upon request.
8. Intellectual property
ScaleIQ retains all rights in the Service, its scoring rubrics, rule catalogs, software, models, templates, and brand elements. You retain all rights in Customer Data. ScaleIQ may use aggregated, de-identified data that does not identify you, any user, or any tenant to operate and improve the Service. ScaleIQ does not use Customer Data to train AI models — its own or any third party’s.
9. Texas data privacy rights
Data subject rights for Texas residents are governed by our Privacy Notice in accordance with the Texas Data Privacy and Security Act (Tex. Bus. & Com. Code § 541 et seq.). To exercise your rights, visit scale-iq.ai/legal/dsar/ or email privacy@scale-iq.ai.
10. Warranties and disclaimers
We warrant the Service will perform materially in accordance with its documentation. Except as expressly stated, the Service is provided “as is,” and we disclaim all other warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI output is accurate, complete, or fit for any particular use.
Not legal advice. ScaleIQ is not a law firm and does not practice law. The Services and any report or other deliverable are not legal advice or legal opinions, and no attorney-client relationship is created by your purchase or use of a Service. Legal regimes identified in a deliverable are candidates for your review, not determinations that any law applies to you. Status terms such as met, partial, and gap describe the evidence reviewed. You should have a qualified, licensed legal professional independently review any assessment before you rely on it.
11. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. Each party’s total liability will not exceed the fees you paid for the Service in the 12 months before the event giving rise to the claim. These limits do not apply to indemnification, breaches of confidentiality, or amounts owed.
12. Indemnification
We will defend you against third-party claims that the Service, used as permitted, infringes a US patent, copyright, or trademark. You will defend us against claims arising from Customer Data or your AUP violations.
13. Governing law & venue
This Agreement is governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. The parties irrevocably consent to exclusive jurisdiction and venue in the state courts of Galveston County, Texas, or, if federal jurisdiction exists, the United States District Court for the Southern District of Texas, Galveston Division. Each party waives any objection to such venue on grounds of inconvenience or otherwise.
14. Dispute resolution & arbitration
Any dispute, claim, or controversy arising out of or relating to this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, and governed by the Texas Arbitration Act (Tex. Civ. Prac. & Rem. Code §§ 171.001–171.098). The arbitration shall be conducted in Galveston County, Texas. Judgment on the award may be entered in any court having jurisdiction.
15. Texas consumer protection
Nothing in these Terms limits any right Customer may have under the Texas Deceptive Trade Practices-Consumer Protection Act (Tex. Bus. & Com. Code § 17.41 et seq.) to the extent such rights cannot be waived or limited by agreement under applicable law. Customer’s waiver of rights under the Texas Deceptive Trade Practices Act, if elected, is set forth in Exhibit A to the Master Services Agreement and is effective only if separately executed.
16. Changes
We may update these Terms. Material changes take effect 30 days after we post or email them. Continued use after the effective date constitutes acceptance.
